These Terms & Conditions (“Terms”) govern your access to and use of the products, services, websites, applications, APIs, and platforms provided by Renitiate Technologies (“Renitiate”, “we”, “our”, or “us”). By accessing or using our offerings, you agree to be bound by these Terms. If you do not agree, you must refrain from using our products or services.

1. Business Model & Scope

Renitiate operates a hybrid business model consisting of (a) proprietary AI-powered software products offered on a subscription basis and (b) bespoke AI-driven development, consulting, and integration services delivered under project-based agreements.

2. Eligibility & Account Responsibility

You must be at least 18 years old and have the authority to bind your organization. You are responsible for maintaining the confidentiality of account credentials and all activities conducted under your account.

3. Intellectual Property

Background IP refers to Renitiate’s pre-existing software, AI models, frameworks, methodologies, tools, and know-how. All Background IP remains the exclusive property of Renitiate.

Foreground IP refers to client-specific deliverables created during a service engagement. Ownership of Foreground IP is governed by the applicable master service agreement (MSA), statement of work (SOW), or written contract.

All content available on Renitiate’s websites and platforms, including text, code, design, layout, graphics, and interfaces, is owned by or licensed to Renitiate. Unauthorized reproduction or use is prohibited unless expressly permitted in writing.

4. AI Outputs & Accuracy Disclaimer

AI-generated outputs may be probabilistic, incomplete, or contain inaccuracies. Renitiate does not warrant that AI outputs will be error-free or fit for any particular purpose.

You are solely responsible for reviewing, validating, and approving outputs before relying on them in business, legal, or operational contexts.

5. No Warranty

All products, services, websites, and materials are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Renitiate disclaims all warranties, express or implied, including accuracy, completeness, performance, and suitability for any particular purpose.

6. Acceptable Use

You agree not to misuse Renitiate’s platforms, including but not limited to:

  • Generating illegal, harmful, or deceptive content
  • Attempting to reverse-engineer models or systems
  • Bypassing security, safeguards, or usage limits
  • Using outputs in violation of applicable laws or regulations

7. Service-to-Product Transition

Custom solutions developed during service engagements may inform or integrate with Renitiate’s broader product ecosystem. Such integration does not grant ownership rights to Renitiate’s core platforms or other client implementations.

8. Fees & Payments

Product subscriptions are billed on a recurring basis. Service engagements are billed according to milestones or deliverables as defined in applicable agreements. Fees are non-refundable unless expressly stated otherwise.

9. Confidentiality

Each party agrees to protect the other party’s confidential information and to use it solely for fulfilling contractual obligations.

10. No Partnership or Agency

References to “partners”, “partnerships”, or similar terms are used for convenience only and do not imply any legal partnership, joint venture, agency, or employment relationship.

11. Regulatory Compliance

Renitiate aligns its operations with applicable data protection and AI regulations, including GDPR, CCPA/CPRA, and risk-based principles reflected in the EU AI Act. Compliance obligations specific to regulated industries remain the responsibility of the customer.

12. Third-Party Trademarks

All third-party names, logos, and trademarks appearing on Renitiate platforms are the property of their respective owners and are used for identification purposes only. Such use does not imply endorsement or affiliation.

13. Unauthorized Use

Unauthorized use of Renitiate’s websites, products, or services may result in suspension or termination of access and may give rise to civil or criminal liability under applicable laws.

14. Limitation of Liability

To the maximum extent permitted by law, Renitiate shall not be liable for indirect, incidental, special, consequential, or business interruption damages.

Renitiate’s total liability shall not exceed the fees paid to Renitiate in the twelve (12) months preceding the claim.

15. Termination

We may suspend or terminate access for violations of these Terms or applicable law. Upon termination, your right to use the services ceases immediately.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles, unless otherwise agreed in writing.

17. Changes to Terms

We may update these Terms from time to time. Continued use of the products or services constitutes acceptance of the updated Terms.
